General Terms
of Sale

These General Terms of Sale (GTS) are entered into between:

…and any individual or legal entity (hereinafter "the Client") making a purchase on nexia-numerique.ca.

Placing an order implies full and unconditional acceptance of these General Terms of Sale.

Note: All meetings are conducted in French / Toutes les réunions sont en français.

Nexia Numérique offers the following services:

All services are provided remotely via email and Google Meet. No in-person visits are included unless agreed upon in writing.

All prices displayed on the website are in Canadian dollars (CAD), before taxes.

Federal GST (5%) and Quebec QST (9.975%) are automatically calculated and collected by Stripe Tax at the time of payment, in accordance with Canadian and Quebec tax laws.

Nexia Numérique reserves the right to modify its pricing. The applicable prices are those displayed at the time of the order.

The ordering process is as follows:

• The Client selects the desired service on the pricing page
• The Client is redirected to a secure Stripe payment page (SSL/TLS)
• Payment is made by credit or debit card via Stripe
• An automatic confirmation email is sent by Stripe upon validation
• For the Complete Audit: a Calendly scheduling link is provided (Meeting 1 — 15 min)

For subscriptions (Essential and Elite), the monthly charge is automatically processed on the anniversary date of the first order.

Complete SEO & GEO Audit ($497)

• The report is delivered by email in PDF format within 72 hours of Meeting 1 (GA4 access)
• In the event of a technical issue (cloud service outage, force majeure), Nexia Numérique will contact the Client within 24 hours and propose a new delivery date
• A second 30-minute Google Meet is offered after delivery to present the report findings

Essential and Elite Plans

• The monthly report is delivered within 5 business days following the end of the service month
• Monthly meetings are scheduled via Calendly based on both parties' availability

Complete SEO & GEO Audit ($497)

• If the report is not delivered within the guaranteed timeframe with no prior communication → full refund
• If the Client does not provide GA4 access within 7 days of purchase → Nexia Numérique may cancel the order without a refund
• If the Client cancels Meeting 1 without rescheduling within 14 days → same rule applies

Essential and Elite Plans (subscriptions)

• No refund for a service month already in progress
• Cancellation takes effect at the end of the current month if the 30-day notice has been respected
• Cancellation before the end of the 3-month minimum commitment results in billing of the remaining balance

For any refund request or payment dispute, please contact Nexia Numérique at contact@nexia-numerique.ca before initiating any chargeback procedure with your bank.

Nexia Numérique agrees to:

• Provide the described services with diligence and professionalism
• Respect the delivery deadlines set out in Article 5
• Maintain the confidentiality of the Client's data (GA4, business information)
• Respond to Client communications within 48 business hours
• Notify the Client of any technical issue within 24 hours

The Client agrees to:

• Provide read-only access to Google Analytics 4 (GA4) within 48h of purchase
• Provide accurate and complete information required to deliver the service
• Make payments on time as agreed
• Not resell or redistribute the reports and recommendations provided without written authorization

Nexia Numérique is committed to implementing industry-recognized best practices in SEO (search engine optimization) and GEO (visibility in generative AI systems).

SEO results are generally observable between 3 and 6 months after optimization work begins. Nexia Numérique provides monthly measurable data (rankings, organic traffic, GEO score) so the Client can objectively evaluate progress.

Nexia Numérique is fully compliant with Quebec Law 25 (An Act to modernize legislative provisions as regards the protection of personal information, S.Q. 2021, c. 25).

• The Client's personal data (name, email, GA4 data) is never sold or shared with third parties without explicit written authorization
• All processing and storage infrastructure is hosted entirely in Canada
• Data is retained for the duration necessary to deliver the service and deleted upon request
• The Client may at any time request access to, correction of, or deletion of their data by writing to contact@nexia-numerique.ca

Reports, analyses, recommendations and content produced by Nexia Numérique under a service agreement become the full property of the Client upon receipt of complete payment.

The methodologies, algorithms, proprietary tools and AI analysis systems of Nexia Numérique remain the exclusive property of Nexia Numérique and are not transferred to the Client.

The Client agrees not to reproduce, resell or distribute received reports without prior written authorization from Nexia Numérique.

Nexia Numérique's liability is limited to the amount of fees actually received during the month preceding the dispute, or $497 in the case of the Complete Audit.

Nexia Numérique cannot be held liable for:

• Indirect losses, lost revenue, loss of clientele or consequential damages
• Algorithm changes by Google, ChatGPT, Perplexity or any other search engine
• Service interruptions caused by third parties (Google Analytics, AWS, Stripe, Hostinger)
• Incorrect or incomplete information provided by the Client

These General Terms of Sale are governed by the laws of the province of Quebec and applicable federal laws of Canada.

In the event of a dispute, the parties agree to attempt an amicable resolution within 30 days before any legal proceedings. All dispute-related correspondence must be sent by email to contact@nexia-numerique.ca.

In the absence of an amicable resolution, the dispute will be brought before the competent courts of Quebec.
